Terms of Service

1. Acceptance of Terms

By accessing or using the LeadEX website, LeadEX-operated service phone numbers, LeadEX SMS/messaging communications, and related services (together, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

Your consent to receive SMS messages is governed separately by our SMS Terms & Conditions and is not required to accept these Terms or to use non-SMS portions of the Services.

2. About LeadEX

LEADEX ("LeadEX") is a marketing, technology, customer communication, service coordination, and dispatch platform serving the home-service industry. LeadEX operates consumer-facing phone numbers and communication channels through which consumers may request home services.

LeadEX does not necessarily perform the home-service work requested by consumers. Home-service work is performed by independent service providers.

3. Independent service providers

• Independent service providers are independent businesses. They are not employees, agents, joint venturers, franchisees, or representatives of LeadEX.
• Each independent service provider is solely responsible for its own licenses, permits, insurance, employees, subcontractors, taxes, service agreements, pricing, warranties, and the workmanship and completion of the services it performs.
• LeadEX does not guarantee that a service provider will be available for any particular request, and does not guarantee quotes, prices, project outcomes, workmanship, completion times, licensing, insurance status, or any other aspect of the services performed by independent service providers.
• Consumers should independently evaluate any service provider and any service agreement before authorizing work.

4. Consumer use of the Services

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
• Information you provide (name, contact info, project details, photos) must be accurate and lawfully shareable by you.
• Any agreement to perform work, pricing, warranties, and terms of service are between you and the independent service provider.

5. Independent service provider participation

Independent service providers who participate in LeadEX dispatch do so under a separate agreement with LeadEX. LeadEX may receive compensation based on successfully completed jobs. Participation may be approved, declined, or terminated at LeadEX's discretion, subject to any applicable written agreement.

6. Affiliate program

LeadEX operates an affiliate program. Affiliates are independent marketing and traffic-referral partners who may promote LeadEX-operated service channels and generate inbound consumer calls through their marketing activities. Consumers contact LeadEX-operated communication channels directly.

Affiliates are compensated according to their applicable affiliate agreements and tracked job outcomes. Affiliates do not purchase, sell, receive, or transfer consumer SMS consent through the LeadEX platform, and LeadEX does not permit affiliates to provide purchased consumer phone lists for unsolicited SMS campaigns.

7. SMS & messaging (A2P 10DLC summary)

Use of the LeadEX SMS messaging program is governed by the SMS Terms & Conditions. By affirmatively checking the SMS consent checkbox on a LeadEX form (unchecked by default, optional, and separate from acceptance of these Terms) you agree to receive conversational and service-related text messages from LEADEX regarding your service request, scheduling, appointment updates, and customer support.

• Message frequency varies.
• Message and data rates may apply.
• Reply STOP to any LeadEX text message to opt out; reply HELP for help, or call (818) 284-1004.
• Consent to receive SMS messages is not a condition of purchasing any goods or services and is not bundled with acceptance of these Terms.
• Wireless carriers are not liable for delayed or undelivered messages.

8. Acceptable use

You agree not to:

• Submit false, misleading, or fraudulent service requests or information.
• Send unsolicited communications using contact data obtained through the Services.
• Violate any applicable law, including the TCPA, CAN-SPAM, and state or federal telemarketing rules.
• Reverse engineer, scrape, disrupt, or otherwise interfere with the Services.
• Use the Services in a way that infringes intellectual property or privacy rights.

9. Intellectual property

The Services, including the LeadEX name, brand, logos, website, software, and content, are owned by LeadEX or its licensors and protected by intellectual property laws. You may not use the LeadEX brand or materials without written permission.

10. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. LeadEX does not warrant the quality, licensing, insurance, availability, pricing, or performance of any independent service provider.

11. Limitation of liability

To the maximum extent permitted by law, LeadEX shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Services or any independent service provider's performance.

12. Indemnification

You agree to defend, indemnify, and hold harmless LeadEX and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

13. Dispute resolution & governing law

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of California, without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, except where prohibited by applicable law.

14. Changes to these Terms

We may update these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Services constitutes acceptance of the revised Terms.
